These Terms & Conditions apply to all design services provided by Lee Protheroe / Creative LeeP (“the Designer”) to any individual or business (“the Client”). By commissioning work, the Client agrees to the following terms.
1. Project Scope
A full written brief is required before any project begins. This ensures an accurate understanding of the work and allows for a precise quotation. The scope, deliverables, and timeline will be agreed upon before the project starts. Any additional work requested outside the agreed scope will be quoted separately.
2. Deliverables
The final deliverables (e.g., artwork files, digital assets, or printed materials) will be defined and agreed upon in advance.
The Designer is happy to accept final payment after the completed files have been sent. However, if the project includes a transfer of intellectual property rights to the Client, those rights and related documentation will only be released once final payment has been received in full.
3. Revisions
Each project includes a set number of revisions, agreed upon during quoting.
Any additional revisions beyond this limit will be charged at the standard hourly rate of £45 per hour.

4. Expenses
Any additional costs such as printing, postage, travel, stock photography, or third-party services will be discussed and agreed upon before purchase.
The Client is responsible for reimbursing these costs.

5. Payment Terms
a. Fixed Price Projects
Projects under £500 may be paid in full upon completion.
Projects over £500 require a non-refundable 50% deposit before work begins, with the remaining 50% due upon completion and prior to release of final deliverables.
Milestone invoicing can be arranged upon request.

b. Hourly Work - Hourly rates are agreed upon during the initial meeting and billed according to time worked.
c. Payment Period - All invoices must be paid within 14 calendar days of the invoice date.
d. Late Payment - Late payments may incur an additional fee of 2% of the outstanding balance per month after the due date, and work may be paused until payment is received.
6. Intellectual Property
All creative concepts, source files, and design rights remain the property of [Your Name / Your Business Name] unless otherwise agreed in writing. Upon full payment, the Client receives a license to use the final design for the agreed purpose.
If the Client wishes to purchase full ownership (intellectual property rights), this can be arranged for an additional 50% of the final project cost.
7. Stock Images
Where stock images are used within a design, they may be included as part of the final artwork. However, the original stock image files cannot be shared with the Client, even if intellectual property rights are transferred.
The Designer will happily provide the image code or link so the Client can obtain their own licensed version directly from the image provider.
8. Credit and Authorship
The Designer reserves the right to display completed work in portfolios, on websites, and in promotional material, unless otherwise agreed in writing.

9. Confidentiality
All Client information will be treated as confidential and will not be shared with third parties unless required by law or with prior consent. The Designer is happy to sign a Non-Disclosure Agreement (NDA) if required for specific projects.
10. Cancellation and Termination
If the Client cancels the project, payment is required for all work completed up to the cancellation date, based on the agreed quote and time spent. If the project is terminated by either party, all outstanding invoices must be paid, and any files not yet paid for may be withheld or deleted.
11. Limitation of Liability
The Designer will not be liable for any loss, damages, or claims arising from the use or misuse of the final deliverables. The Designer’s total liability shall not exceed the total amount paid by the Client for the project.
12. Governing Law
These Terms & Conditions are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
13. Dispute Resolution
In the event of a dispute, both parties agree to attempt resolution through informal discussion or mediation before pursuing legal action.
